  • Lead counsel acting for a Norwegian and New Zealand joint venture's purchase of the business and assets of a division of a NASDAQ listed company with assets and operations in the US and Canada. Advised in all aspects of structuring the joint venture, funding arrangements for the acquisition, negotiation of the purchase agreement and settlement of the acquisition.
  • Acted for an Australasian PE owned industrial group in their acquisition of an Australian listed company's New Zealand subsidiary. Advised on all aspects of the transaction including NZ competition law, purchase agreement negotiation, funding, employment matters, leasing and settlement.
  • Acted for a number of software and related business start-up clients and dealt with everything from initial "angel" investment, including NZVIF (Seed Fund) investment through to business sale, IP protection and global licensing and distribution arrangements.
  • Acted for a number of private investor groups looking to invest in small and medium-sized businesses with a portion of the investment allocated to "venture" capital, including putting together and defining stakeholder arrangements with different classes of investor.
  • Acted for a New Zealand investment company in raising, negotiating and settling a NZD100 million funding line to fund its lending and equity investment business.
  • Advising two futures and FX brokers and several finance companies in all aspects of their day-to-day business, including public offer and compliance issues, lending, security and recovery matters.
  • Acted for land owners in negotiating and documenting access and development documentation for a proposed NZ$200 million wind farm. Negotiations included completing power company offers and documentation.
  • Acting in the sale of an Australasian financial services company to a large US-based international forex group.
  • Acting in “white label” banking services facility agreement for a New Zealand trading bank.
  • Advising an established South American business syndicate regarding the establishment of a New Zealand registered bank.
  • Advising on joint venture and management structures for a New Zealand hotel.
